Vendor Contract Terms and Conditions of Submission

This Agreement is made and entered into between Erotic Escapes EBooks and The Author, Publisher or Bookstore be that online or brick and mortar.

This Agreement is valid and acts as a Service Agreement and content placement contract among the Author, Publisher, Bookstore (hereafter referred to as Providers or Provider) and Erotic Escapes EBooks (hereafter referred to as EEE).

The Following are the term & conditions for this contract:

Representations and Warranties:
The Author or Publisher represents that they have the legal right to distribute any works uploaded and sold on Erotic Escapes Ebooks and to the best of their knowledge does not contain any libelous matter, or any matter that could violate any laws, state or federal and also does not infringe upon any existing copyright or copyright holder. The Author or Publisher shall hold harmless and indemnify Erotic Escapes Ebooks from any recovery through judgement sustained by reason of any violations of copyright or other property of personal right. Erotic Escapes Ebooks shall notify any Author or Publisher with promptness of any claim or suit which may involve the warranties of the Author or Publisher hereunder; and the Author or Publisher agree fully to cooperate in any legal proceedings or defense of any suit or suits brought about by any content they've uploaded.

Terms and Conditions for Royalties:
It is understood that Authors, in exchange for placing your content on our site, you will receive 75% royalty for each book sold, and will have payment sent at the end of each month, somewhere between the 28th and 31st. Separate, and higher royalties will be automatically given to Publishers that place dozens or even hundreds of books on our site. In the case of publishers it is agreed that the percentage they are given in email from Deb Cole will be there percentage of royalties received.

Privacy:
Authors using Pen Names will be required to provide us a legal or business name for this Agreement. Legal and/or business names will not be disclosed to the public or anyone unauthorized unless the Author themselves discloses it. It is understood by all parties that Legal and Business names have the legal authority to do business and can accept payment under applicable state and federal laws. All information given to Erotic Escapes EBooks will be kept confidential and secure. Your information is used only on our site for the purposes agreed. No 3rd parties have access to this content, nor will they ever. (*Standard Security Disclaimer applies)

*Security:
All provider, customer and content are kept in directories outside the root of the site. Access is only granted from to scripts on the server for purchasing and content upload purposes. There is an I.P block on those directories restricting access to only a single computer run by the webmaster of EEE. This is for your safety. It must be stated that EEE has no control over illegal acts by the server owners (www.godaddy.com). Illegal acts are defined as illegal or malicious acts to distribute property or install non-approved software for any purpose on the dedicated server leased from this entity by its employees or any of its 3rd party contractors. It is possible that migration to a dedicated server on www.midphase.com might be performed if the webmaster of EEE feels security needs to be heightened. This is not anticipated but is possible and is disclosed.

Payment clause:
The Provider will receive 75% of the Royalties from each EBook sold, and EEE will receive the other 25% of the sale. EEE agrees to provide payment to the Provider monthly between the 28th and 31st of every month for content sold from www.eroticescapesebooks.com if the provider account carries a positive balance.

Duties & obligations:
Erotic Escapes EBooks will provide marketing for EEE and any content and Provider listed on its site. The author will be able to view real-time sales reports and other information pertaining to their EBooks. It must be noted that sales reports cannot be altered by either EEE or the Provider. The Provider will also have a Provider page that will display only the information the Provider wishes which will in turn be used for search engine optimization (hereafter known as SEO).

Publishers who accept this agreement granting us rights to Sell their Authors EBooks on our site agree to receive 75% royalty on each submitted book sold unless a different arrangement is individually negotiated. Publishers also agree to the terms that Erotic Escapes EBooks has offered, again unless a different arrangement is individually negotiated.

The Author agrees to provide only the content they legally have the right to distribute of their own accord and without permission from any and all 3rd parties and acknowledge that providing unauthorized and illegal content can be subject to legal proceedings. It is also acknowledged by the Author that any conflict between an author and publisher involving content will result in the publisher being paid out of the Authors proceeds until legal precedent establishes otherwise. Authors also agree to the terms of service and privacy policy we have provided them when they submitted their works to us.

Termination:
If at any time the partnership is deemed to be not working or not mutually beneficial, then EEE will make every attempt to remove said content within 24 hours but maintains the right to carry said content for 7 days from notification of partnership dissolution due to any administration procedures or complications that may arise. This partnership can be dissolved by either party at any time, that is, EEE or Providers may at any time deem this contract to be unbeneficial and declare it dissolved.

Contract Changes:
EEE reserves the right to change this contract at any future time for legal purposes and procedures and agrees that any terms negotiated within this contract are grandfathered under title of standard grandfathering clauses of the current U.S. Federal Code.

Hereby, both the parties are requested to accept the contract:
By signing up for a vendor account with EEE you agree to this Agreement and submitting an account will take the place of a physical signature. Or, if this contract is entered into by a legal entity other than the physical and real author then it is assumed this entity has the authority to enter into a legal contract, and the signing authority of the legal entity must be the account submitter.
